Looking for a Corporate Paralegal for Large Manufacturing Company in Middlesex County $80-$90K
The Corporate Paralegal provides assistance and legal support to all attorneys in the legal office. The Corporate Paralegal will work on a full spectrum of corporate legal matters, including maintenance of corporate and contractual records, securities filings, document management, corporate resolutions, entity maintenance, regulatory compliance and reviewing and drafting contracts.

  • Provide assistance in preparing, reviewing, revising, redlining, organizing and finalizing certain corporate/transactional documents and any related due diligence as necessary, including but not limited to agreements and corporate filings.
  • Maintain electronic and paper file of corporate records of the Company and assure required filings are completed.
  • Gathers factual information to assist legal team
  • Researches statutes, regulations, court decisions and undertakes other basic legal research
  • Serve as the primary point of contact, document input coordinator, and technical expert for all electronic systems and databases which manage corporate records and other contract management systems
  • Performs clerical and general office duties like preparing reports and correspondence requiring knowledge of legal terminology
  • Drafts legal documents - contracts, resolutions, etc.
  • Monitor and ensure compliance with state, local and federal regulations and assist in-house counsel in regulatory compliance, including assisting in all antibribery and ethics compliance
  • Provide assistance to in-house counsel in preparation, filing and maintenance of SEC filings.
  • Assist attorney with communication with outside counsel regarding deadlines.
  • Support maintenance of legal budget and expense database.
  • Secure signatures on contracts, and documents such as power of attorney forms, assignments, declarations
  • Support creation and maintenance of board education materials including best practice resources
  • Perform other paralegal duties and special projects as may be assigned
  • Bachelor's degree in Business Administration or Legal field is a basic requirement.
  • At least 5-8 years of experience in law firm or in-house setting is preferred
  • Paralegal Certificate from ABA certified school preferred
  • Strong attention to detail, coordination of multiple projects and ability to work individually on a project and on multiple projects concurrently or in a team environment
  • High level of initiative and the ability to work independently.
